We reserve the right to restrict or deny access to the Website at our discretion, including where we reasonably believe that you have failed to comply with these Terms.

Disclaimer of Warranties and Limitation of Liability

The Website, including all content, materials, products, goods, and services made available through it (collectively, the “Website Content”), is provided by CMA on an “as is, where is” and “as and when available” basis. To the fullest extent permitted by law, CMA shall not be liable for any direct, indirect, incidental, consequential, special, punitive, economic, or exemplary damages of any kind arising from or related to your use of, inability to use, or reliance on the Website or Website Content. Ideas and Feedback You Provide

We welcome your feedback and suggestions. Any information you provide to us, including questions, comments, or suggestions regarding our products, services, or the content of the Website, will be considered non-confidential.

By submitting such information, you acknowledge and agree that CMA shall have the unrestricted right to use, reproduce, disclose, and distribute your feedback in any manner, for any purpose, without compensation or liability. This includes, without limitation, the right to incorporate any ideas, concepts, inventions, know-how, or techniques contained in your feedback into CMA’s products, services, or marketing materials. You hereby assign to CMA all intellectual property rights in any such submissions and waive any moral rights or claims against CMA in connection with its use.

Software Use

The Website may offer software (“Software”) for download. The Software is owned by CMA or its suppliers and may include a license agreement. You may only use or install the Software if you agree to the applicable license terms.

If no license agreement is provided, you are granted a limited, non-transferable, revocable license to install and use the Software on your personal device solely to access and use the Website in accordance with these Terms.

The Software is protected by copyright and international law. Unauthorized copying, distribution, or reproduction is prohibited and may lead to legal penalties. You also agree to comply with all applicable export control laws and not to export or re-export the Software in violation of such laws.

Evidence

A printed or electronic version of these Terms of Use, any notices provided through the Website, or records of your use of the Website and associated data, including computer-stored records maintained by CMA in reasonably secure conditions, will be accepted as conclusive evidence and admissible in judicial or administrative proceedings. Records are deemed reasonably secure if systematically maintained on a durable and tamper-resistant medium, or if maintained on an alterable medium with reasonable proof that the records have not been altered.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the applicable laws of Canada in force therein. You agree that any disputes arising out of or relating to this Agreement or your use of the Website shall be brought exclusively before the courts located in Calgary, Alberta, and you irrevocably submit and attorn to the exclusive jurisdiction of such courts.

Nothing in this section limits CMA’s right to commence proceedings in any court of competent jurisdiction to seek damages or equitable relief in respect of any breach of this Agreement. Use of the Website in any jurisdiction that does not give effect to all provisions of these Terms is not authorized.

Injunctive and Similar Relief

You agree that any breach of this Agreement by you may not be adequately compensated by damages alone, and that CMA is entitled to seek immediate injunctive, equitable, or similar relief, without notice and without the necessity of proving actual or likely damages. You further agree that CMA may commence proceedings in any court of competent jurisdiction to enforce this Agreement and to seek damages and/or equitable relief in respect of any such breach.

Entire Agreement

Subject to any other applicable agreement you may have entered into with us, these Terms, together with any notices or statements posted on the Website, constitute the entire agreement, contract, and understanding between you and CMA with respect to your use of the Website, and supersede all prior or contemporaneous communications, proposals, or agreements, whether electronic, oral, or written, relating to such use.

Waiver

You acknowledge that the Internet and websites are inherently subject to risks, including system, network, or computer failures, as well as unauthorized or malicious activity. While CMA will take reasonable measures to maintain the security of the Website, protect your data, and safeguard your privacy, your use of the Website is entirely at your own risk. CMA shall not be liable for any loss or damages, however caused, except as expressly provided in this Agreement, even if resulting from CMA’s negligence.

Any delay, omission, or partial exercise by CMA of its rights, powers, or remedies under this Agreement does not constitute a waiver of those rights. The exercise of any right, power, or remedy in part or on a single occasion does not prevent CMA from subsequently exercising it fully or exercising any other rights, powers, or remedies at any time and against any person.

Severability

If any provision of these Terms of Use is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect. These Terms shall also inure to the benefit of the heirs, executors, administrators, and permitted assigns of both you and CMA, including its subsidiaries and affiliates.

Additional Terms and Conditions

You acknowledge and agree that all products, goods, and services offered, referenced, or obtainable through the Website—whether provided by CMA or by third parties—are subject to additional terms and conditions, including, without limitation, terms regarding payment, availability, and use. You agree to comply with all such applicable terms and conditions.
